Terms of Service
These Terms are the agreement between you and Tristack Technologies LLP, the firm that operates QuantGrid, for use of its three products: the software that replicates orders from a parent trading account into the accounts you link to it, QuantGrid AlgoTrader, trading software that runs on your own computer, and QuantGrid Static IP, a static IP address and proxy for your own broker software. Read clause 3, clause 7 and clause 8 in full, clause 18 if you use AlgoTrader and clause 19 if you buy Static IP or take its free trial: they define what the software does, when it runs, what it does not do, and what remains your responsibility.

- quantgrid.in and the QuantGrid platform
1. Definitions
In these Terms, the following words carry the meanings given here. Where a defined word appears with a capital letter, it has this meaning and no other.
- Platform means the QuantGrid software service operated by the Company and made available at quantgrid.in and through the application at https://app.quantgrid.in/login, including its web interface, background replication engine, application programming interfaces, notifications, logs and documentation.
- Company, we, us and our mean Tristack Technologies LLP, a limited liability partnership registered in India under LLPIN ACP-3743, whose registered office is at B-35, Vinoba Kunj Apartments, Sector 9, Rohini, Delhi 110085, India. The Company is the person you contract with under these Terms, and it alone carries the obligations and the rights they create. QuantGrid is a brand and product name of the Company and is not a separate legal person: where these Terms, the Platform or our website say QuantGrid, the contracting party is the Company.
- Subscriber, you and your mean the natural person or legal entity that registers for an account on the Platform and, where an entity is named, every individual who accesses the Platform on its behalf.
- Broker means a stockbroker registered with the Securities and Exchange Board of India (SEBI) and a member of a recognised stock exchange, whose application programming interface the Platform connects to, including Zerodha, Angel One, FYERS, Groww, Motilal Oswal, Upstox, Nuvama Wealth, ICICI Direct, Dhan, Kotak, Tradejini and IIFL.
- Broker Account means a trading account you hold with a Broker, which you link to the Platform using the Broker’s own authorisation flow.
- Parent Account means a Broker Account you designate as the source of order events. The Platform observes orders placed in that account.
- Child Account means a Broker Account you link to a Parent Account as a destination, so that orders observed on the Parent Account are mirrored into it under the rules you configure.
- Replication means the automated process by which the Platform reads an order event on a Parent Account, applies your configured multiplier and limits, sizes the result in the contract’s own exchange lot, and submits a corresponding order to the relevant Broker for a Child Account.
- Copy Rule means the configuration you set for a Parent Account and Child Account pair, including the quantity multiplier, the maximum quantity cap and whether the pairing is active.
- Wallet Balance means the amount you have paid in advance and from which Address Fees and Licence Fees are deducted. It is money, in rupees, not credits, points or any other token. It is topped up by one-time payment, is non-refundable and non-transferable, lapses when unused as clause 6.6 sets out, and is the only payment model for trade replication and QuantGrid AlgoTrader: trade replication carries no platform fee and no subscription, and neither of those two products ever makes a recurring charge to any payment instrument. QuantGrid Static IP is paid by Subscription instead (clause 19), and a Wallet Balance cannot pay for it.
- Address Fee means the published fee for one dedicated static IP address, reserved to one Broker Account, for one period of 30 days, at the rate for that address family. Address Fees are deducted from the Wallet Balance and are never charged to a card or bank account.
- Order Event means a message from a Broker describing the placement, modification, cancellation, rejection or fill of an order.
- QuantGrid AlgoTrader, or AlgoTrader, means the Company’s trading software for Windows, macOS and Linux, which you install and run on your own computer, together with its updates, its documentation, the sign-in to your account that you use in it, and the dedicated static IP address that comes with each Licence. It is a separate product from trade replication, you sign up for it yourself (clause 18.2), and clause 18 says which clauses of these Terms govern it and sets out the terms that apply to it alone.
- Licence means one QuantGrid AlgoTrader licence, which covers one computer running an operating system listed in clause 18.1 and one Broker Account, and includes the dedicated static IP address that Broker Account’s orders leave from, as one bundle.
- Licence Fee means the published fee for one Licence for one period of 30 days. Licence Fees are deducted from the Wallet Balance and are never charged to a card or bank account.
- QuantGrid Static IP, or Static IP, means the Company’s static IP service: a static IP address reserved to you, and the proxy through which software you run yourself reaches your Brokers from it, as clause 19 describes. It is a separate product from trade replication and from QuantGrid AlgoTrader.
- Subscription means a QuantGrid Static IP purchase paid by a recurring payment mandate you authorise, as clause 19.3 describes.
These Terms govern the Company’s three products: trade replication, provided through the Platform, QuantGrid AlgoTrader and QuantGrid Static IP. Clauses 18.1 and 19.1 say which clauses apply to AlgoTrader and to Static IP, and the rest of clauses 18 and 19 set out the terms that apply to each alone.
2. Acceptance and eligibility
2.1 Acceptance
By registering for an account, topping up your Wallet Balance or using any part of the Platform, of QuantGrid AlgoTrader or of QuantGrid Static IP, you agree to these Terms, to the Privacy Policy, the Refund and Cancellation Policy, the Disclaimer and the Risk Disclosure, each of which is incorporated into this agreement by reference. If you do not agree to any part of them, do not use the Platform or AlgoTrader.
2.2 Eligibility
You may use the Platform or QuantGrid AlgoTrader only if all of the following are true.
- You are at least 18 years of age.
- You are competent to contract under the Indian Contract Act, 1872, and you are not a person disqualified from contracting under any law applicable to you.
- You are resident in India, or you are otherwise lawfully permitted to hold and operate the Broker Accounts you link, and to use a service of this kind from your place of residence. You are responsible for checking the law that applies to you.
- You hold at least one active Broker Account with a supported Broker, in your own name or in the name of an entity you are authorised to bind.
- You have not been barred, debarred, suspended or restrained by SEBI, a stock exchange or any regulator or court from dealing in securities or from accessing the securities market.
2.3 Entity subscribers
If you accept these Terms on behalf of a company, LLP, partnership, HUF or trust, you confirm that you have authority to bind it, and “you” in these Terms means that entity as well as yourself.
3. Nature of the service
This clause defines the boundary of what we do. The statements in the box below apply to all three of our products; clauses 3.1 to 3.3 describe trade replication, clause 18 describes QuantGrid AlgoTrader and clause 19 describes QuantGrid Static IP. This clause governs the reading of every other clause, and of every page on quantgrid.in.
QuantGrid is a technology platform, not an investment adviser.
- We are not registered with SEBI in any capacity: not as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, not as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014, not as a Portfolio Manager under the SEBI (Portfolio Managers) Regulations, 2020, and not as a stockbroker or sub-broker.
- We give no investment advice, no recommendation, no tips, no calls and no opinion on any security, index, strategy or trader. Nothing in the Platform or on our website is a suggestion that you should buy, sell or hold anything.
- We never hold, receive or handle your funds or securities. Money and holdings stay with your SEBI-registered Broker at all times. We have no payment instruction rights over your Broker Account, and we cannot withdraw from it.
- We take no discretionary decisions. The Platform executes only the Copy Rules you configure. It does not select instruments, does not choose entry or exit levels, and does not decide when your Parent Account should trade. QuantGrid AlgoTrader runs on your own computer and acts only on the rules, strategies and limits you write or configure in it; it does not choose or suggest any trade. QuantGrid Static IP places no order at all: it carries the connections your own software makes.
- We do not manage your account, do not trade on your behalf at our own discretion, and do not share in the outcome of your trades in any form.
3.1 What the Platform actually does
On your instruction, the Platform observes Order Events on a Parent Account you nominate, applies the Copy Rules you have configured, and submits corresponding orders to the relevant Broker for the Child Accounts you have linked. It also records what it observed and what it did, and exposes controls such as square-off, cancel and alerting. That is the whole of the trade replication service.
QuantGrid replicates equity and F&O orders on NSE, BSE, NFO and BFO for every account. BSE and BFO trades are not copied to ICICI Direct accounts, whose API accepts orders on NSE and NFO only. The Platform reads the exchange on an Order Event before it reads any Copy Rule, so an event outside that scope is recorded in the audit trail as skipped and no order is placed in a Child Account, whatever the Copy Rule says.
Every order the Platform places is a real order in your real Broker Account, with real money at risk. Trade replication has no simulation, no paper-trading mode and no sandbox at any point. QuantGrid AlgoTrader has a Sandbox mode of its own, which places no real orders, and clause 18.6 describes it.
3.2 When the Platform runs, and what it does not replicate
QuantGrid runs around the clock, every day. Deploys and planned maintenance are scheduled outside NSE and BSE market hours. The time of day does not change how an order placed on a Parent Account is treated: while the Platform can read that account, the order is replicated under your Copy Rules and within the scope in clause 3.1, subject to clause 8. An order placed on a Parent Account while the exchange is closed, such as an equity after-market (AMO) order in the evening, is copied at once like any other, with these exceptions: Angel One gives such an order a new order number when it sends it to the exchange at the open, so on an Angel One parent account it is copied then, once, and not before; and a Sahi parent account's order book is read every two minutes while the market is shut, because Sahi allows each account 10,000 order-book reads a day, so on one it is copied when the book is next read, up to two minutes later. Whether the Child Account’s Broker accepts it at that hour is that Broker’s rule: some hold it as an after-market order for the next session, and some refuse it.
An order already resting on a Parent Account’s order book when the Platform starts watching that book is not replicated automatically, including when it fills later.
An order already resting on a parent account's order book when QuantGrid starts watching that book is treated as existing, not new, and is not copied automatically, even if it fills later. QuantGrid starts watching a book afresh after a restart or deploy, when copying is switched back on for that parent, and at the first successful read of the book each day after the 00:30 IST daily reset, which waits for the account to be signed in and, on some brokers, for their overnight maintenance to end. If such an order is less than an hour old, QuantGrid may instead ask the account's owner to approve a copy, and nothing is placed unless they do. An order placed while QuantGrid is reading the parent is copied in the ordinary way, whatever the time of day.
This follows from how the engine starts watching a book rather than from a delay in it: it records every order already on the Parent Account’s order book as already-seen, so that it does not mirror a whole trading day of history in one burst. An order resting on the book at that moment is read as history, and no Child Account order is produced from it automatically, then or afterwards. If you place an order on a Parent Account while the Platform cannot read that account, for example while it is signed out at the Broker or during the Broker’s own overnight maintenance, check your Child Accounts and place any order you want there yourself.
3.3 You choose the Parent Account
You alone select which account is the Parent Account. We do not supply, rank, vet, endorse, introduce or comment on any Parent Account or the person operating it. If you link a Parent Account operated by a third party, that arrangement is between you and them, we are not a party to it, and you carry every consequence of the orders it originates. Read the compliance page for the full statement of our position.
3.4 No relationship of trust or agency
Nothing in these Terms creates a fiduciary relationship, an agency, a partnership, a joint venture or an employment relationship between you and us. We act as a software vendor and nothing more.
4. Registration and broker authorisation
4.1 Your account
You must register with accurate information and keep it current. One Platform account belongs to one Subscriber. You are responsible for everything done under your account, whether or not you did it, unless the access resulted from our own proven failure.
4.2 Credentials
Keep your password, session tokens, two-factor codes and API keys confidential. Do not share them, publish them or store them where others can read them. Tell us at support@quantgrid.in as soon as you suspect unauthorised access, so we can suspend the account while you regain control.
4.3 Broker authorisation
You link a Broker Account through the Broker’s own authorisation flow. The Broker issues an access token to the Platform, scoped by the Broker, and that token is what the Platform uses to read Order Events and place orders. We ask you never to send us a broker password or a two-factor secret by email or chat, and we will never ask you for one.
4.4 Token validity
Broker access tokens expire on the Broker’s schedule, which for several Brokers is daily. Until you re-authorise, the Platform cannot observe Order Events or place orders for that Broker Account, and Replication for it will not run. Keeping your authorisations current is your responsibility.
4.5 Revocation
You may revoke the Platform’s access at any time, from your Broker’s console or by unlinking the account in the Platform. Revocation stops further Replication for that Broker Account immediately. It does not close positions that are already open, and it does not cancel orders already sitting on the exchange. Managing those remains yours to do.
5. Subscriber duties and acceptable use
5.1 Authority over linked accounts
You must own, or be lawfully authorised to operate, every Broker Account you link, whether as a Parent Account or a Child Account. You must be able to evidence that authority if we ask for it.
5.2 No unauthorised management of third-party funds
You must not use the Platform to manage, pool or direct the funds of third parties in any way that requires a registration you do not hold. Running discretionary money for other people, charging a fee or a share of outcomes for doing so, or soliciting the public to link their accounts to a Parent Account you operate, may require registration with SEBI as a Portfolio Manager, Investment Adviser or Research Analyst. Obtaining and maintaining any registration or licence your activity requires is entirely your obligation, not ours.
5.3 Regulatory compliance
You must at all times comply with:
- the terms, API policies and rate limits of every Broker whose account you link;
- the byelaws, rules and circulars of the stock exchanges and clearing corporations you trade on;
- the Securities and Exchange Board of India Act, 1992, the Securities Contracts (Regulation) Act, 1956, and the regulations and circulars issued under them, including those on algorithmic trading and on the use of automated order-placement tools;
- the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the SEBI (Prohibition of Fraudulent and Unfair Trade Practices) Regulations, 2003;
- the Income-tax Act, 1961, the Foreign Exchange Management Act, 1999 and the Prevention of Money-Laundering Act, 2002, so far as they apply to you.
5.4 Prohibited conduct
You must not, and must not permit anyone else to:
- use the Platform to attempt market manipulation, spoofing, layering, circular trading, self-trading, front-running or any other manipulative or fraudulent practice;
- deliberately generate order volumes designed to overload a Broker API, an exchange gateway or our infrastructure;
- reverse engineer, decompile, disassemble, scrape, benchmark for publication, or attempt to derive the source code or the internal logic of the Platform, except where that right cannot be excluded by law;
- resell, sublicense, rent, white-label or otherwise make the Platform available to any third party, or share a single Platform account across multiple Subscribers. One account is for one Subscriber;
- probe, scan or test the vulnerability of the Platform, bypass authentication or tenant boundaries, or access data belonging to another Subscriber;
- upload malicious code, or use the Platform in a way that interferes with its operation for anyone else;
- use the Platform in breach of any law, or for any purpose that would make us a participant in your breach.
5.5 Configuration is yours to verify
Multipliers, maximum quantity caps and the choice of which Broker Accounts to link are set by you. Verify them before the market opens, and after every change. A Copy Rule does exactly what it is configured to do, including when the configuration is wrong.
5.6 Margin and funding
You must maintain sufficient funds and margin in every Child Account. The Platform does not fund, transfer or reconcile balances, and a Broker will reject an order that a Child Account cannot support.
6. Wallet Balance, fees and taxes
6.1 What you are paying for
Trade replication carries no platform fee and no subscription. What you pay for it is a dedicated static IP address for each Broker Account you connect, and every feature of the Platform is included with it, with no per-child-account surcharge. Address Fees are paid out of a Wallet Balance you top up in advance. QuantGrid AlgoTrader is a separate product with a fee of its own: the Licence Fee of ₹1,200 + GST per 30 days for each Licence, paid out of the same Wallet Balance, as clause 18 sets out. What you pay for either product is not brokerage, not a commission, not a fee for advice, and not a share of any trading outcome. We do not take a percentage of your trades, in any direction, at any time.
6.2 Published fees
Fees are those published on the pricing page at the time you buy an address or a period renews. The two address families are priced separately, because IPv4 addresses are the scarcer resource, so IPv4 and IPv6 do not cost the same. One Address Fee covers one address, reserved to one Broker Account, for one period of 30 days. It runs from the date the address is issued, on its own cycle, because the address is reserved to that Broker Account from the day it is provisioned. An address issued on the free trial in clause 6.8 is the exception: its first period is free and ends when the trial ends, and its own 30-day cycle starts then.
| Address | Address Fee | Period | Taxes |
|---|---|---|---|
| Dedicated static IPv6, per broker account | ₹500 | per 30 days | + 18% GST |
| Dedicated static IPv4, per broker account | ₹600 | per 30 days | + 18% GST |
6.3 GST and other taxes
Published Address Fees and Licence Fees are exclusive of taxes. Goods and Services Tax at the prevailing rate, currently 18%, is charged when you top up your Wallet Balance, which is the taxable supply, and is shown separately on the tax invoice we issue for every top-up. Your Wallet Balance is therefore GST-inclusive money, and no further tax is added when an Address Fee or a Licence Fee is deducted from it. If the rate changes, or a new levy applies, the amount charged changes accordingly without further notice. Where any withholding is required by law on a payment to us, you must gross up so that we receive the full invoiced amount, and furnish the relevant certificate.
6.4 The Wallet Balance, deduction and renewal
You top up your Wallet Balance by one-time payment, in any amount. Every purchase is a separate payment that you initiate. For the Wallet Balance, we create no recurring mandate, no standing instruction, no e-mandate and no auto-debit on any card, UPI handle or bank account, and nothing is ever charged to a payment instrument without you starting it. The one exception is a QuantGrid Static IP Subscription, which you authorise as a mandate under clause 19.3 and which the Wallet Balance never pays. The amount reaches your Wallet Balance as soon as the payment gateway confirms the payment. Payments are collected through third-party payment gateways; we do not store your card or bank credentials.
Access to the Platform begins when your first top-up succeeds or, if you are eligible for the free trial in clause 6.8, when you request your first address on it. Outside the free trial, buying a dedicated static IP address for a Broker Account deducts one Address Fee from your Wallet Balance, and at the end of each period the next period is deducted from it automatically. That deduction moves money you have already paid us; it never charges a card, a UPI handle or a bank account. You may turn auto-renew off, or release an address, at any time from the Platform. If you turn auto-renew off, the address runs to the end of the period already paid for and is then released. If you release it, it is released at once and stops working straight away. Either way the unused part of a period is neither refunded nor returned to your Wallet Balance, except that an address you cancel while it is still being set up, before it was ever ready for use, has its Address Fee returned to your Wallet Balance.
If a renewal falls due and your Wallet Balance cannot cover the Address Fee, we notify you by email, and by Telegram where you have linked a chat. The address stays live for a grace period of 3 days from the renewal date, with a daily retry, and Replication for that Broker Account continues throughout. If the Address Fee is still uncovered at the end of the grace period, the address is released and may be reassigned. A released address cannot be recovered: a replacement address has to be whitelisted with your Broker again before orders will flow from it.
6.5 Price changes
We may revise Address Fees. A revised fee applies from the next renewal of each address, and we will give you at least 30 days’ notice by email before a revision takes effect. Continuing to use the Platform after that date is acceptance of the revised fee. If you do not accept it, turn auto-renew off before the renewal date.
6.6 Stopping, refunds and the status of the Wallet Balance
For trade replication there is no subscription to cancel. What you stop is an address: turn auto-renew off, or release it, as described in clause 6.4. A QuantGrid AlgoTrader Licence is stopped by cancelling it, as described in clause 18.5. The Wallet Balance is non-refundable and non-transferable. It cannot be paid back out, moved to another Platform account, or given to another person, and an unspent balance is not paid out when you release your last address, cancel your last Licence or close your account. It remains spendable on your own account, on any address or Licence, for as long as the account is open and in use. An unused Wallet Balance lapses if your account goes 12 months in a row without any activity while you hold no address and no Licence. Activity is any top-up, any amount deducted from or returned to your Wallet Balance, and any order copied or placed through the Platform for one of your broker accounts. We will email you at least 45 days, and again at least 7 days, before a balance lapses, stating the amount and the date, and any activity before that date keeps it. A lapsed balance is set to zero and is not refunded, paid out, transferred or converted into money. The 12 months are never counted from a day earlier than 1 December 2026, when this rule took effect. The narrow payment errors we do correct in money, and the remedy for a service failure attributable to us, are set out in the Refund and Cancellation Policy, which forms part of these Terms. Nothing in this clause 6 overrides it.
6.7 Costs we do not charge and do not control
Brokerage, exchange transaction charges, Securities Transaction Tax, stamp duty, SEBI turnover fees, depository charges, GST on brokerage and any other statutory levy are charged by your Broker, not by us. They are your cost, and we have no visibility or control over them.
6.8 The free trial
If your email address is verified and you have never held a dedicated static IP address with us, you are eligible for a free trial. Your first 7 days of dedicated static IP addresses are free, for up to 10 addresses in total, each reserved to one Broker Account and in the address family its Broker requires. A free address in the IPv4 family also needs a verified WhatsApp number on your account, and a number unlocks free IPv4 addresses on one account only: an IPv4 address requested without one, or with a number that already unlocked them on another account, is charged at its Address Fee from its first day. The trial starts when you request your first address on it and ends 7 days later. Every address you request during the trial is free until that same moment, whenever during the trial you requested it, and an address you release still counts toward the 10. Nothing is deducted from your Wallet Balance for a trial period, and no top-up is needed to start one.
When the trial ends, each trial address renews under clause 6.4 like any other address: the next period is deducted from your Wallet Balance at the Address Fee then applicable to you, and if the balance cannot cover it, the grace period and release in clause 6.4 apply. If you have turned auto-renew off on a trial address, it is released when the trial ends.
The trial is available once per customer. A Broker Account that has already held a trial address under another customer’s account is charged from its first day. We may change or withdraw the trial for new customers at any time; a change does not shorten a trial that has already started.
7. Service levels and availability
7.1 When the Platform runs
QuantGrid runs around the clock, every day. Deploys and planned maintenance are scheduled outside NSE and BSE market hours. We do not undertake that the Platform will be available outside NSE and BSE market hours: time outside those hours is not counted, and it is excluded from every availability measurement and every remedy in this clause, whether or not the Platform was running at the time.
The current state of the service, and maintenance we have planned, are published at https://quantgrid.in/status.
7.2 The commitment
We commit to 99.9% availability of the replication engine during NSE and BSE market hours. The measurement period is a calendar month, and the hours measured within it are the market hours falling in that month and no others: those hours are both the numerator and the denominator. Availability means the engine is running, reachable and able to process Order Events for accounts whose Broker authorisation is valid. The commitment is measured over those market hours because they are the hours it covers: hours outside them are not counted, so they neither count against the figure nor qualify for a remedy. The Platform runs outside those hours too, as clause 7.1 says, without this commitment.
7.3 Orders already on the book when the Platform starts watching it
An order already resting on a parent account's order book when QuantGrid starts watching that book is treated as existing, not new, and is not copied automatically, even if it fills later. Clause 3.2 explains why. This is a limit of the service, not a delay in it: an order resting on a Parent Account’s order book at that moment produces no Child Account order automatically, not then and not when the order later fills. If you want a Child Account to hold a corresponding order, place it yourself, or approve the copy the Platform offers where it offers one.
7.4 What the commitment excludes
The following are excluded from the availability calculation, because they are outside our control, are announced in advance, or fall outside NSE and BSE market hours:
- any time outside NSE and BSE market hours, including evenings, nights, weekends, exchange holidays and any day on which NSE and BSE are closed, even when the Platform is running;
- scheduled maintenance, which we normally perform outside NSE and BSE market hours and announce at least 24 hours in advance where the work is planned;
- emergency maintenance needed to protect the security or integrity of the Platform, announced as soon as we reasonably can;
- outages, degradation, throttling, rate limiting, authentication failures, malformed responses or API changes on the part of a Broker or an exchange;
- exchange halts, circuit filters, session extensions, trading suspensions and any regulatory direction affecting order entry;
- failure or expiry of your Broker authorisation, insufficient margin, account-level restrictions imposed by your Broker, or your own configuration;
- your internet connectivity, device, browser or local network, and any failure of a third-party service you have chosen to depend on, including messaging services used for alerts;
- failures of upstream infrastructure providers such as cloud hosting, transit networks or DNS that are not attributable to our own configuration;
- a Force Majeure Event as described in clause 17.6.
7.5 Remedy
If availability measured under clause 7.2 falls short in a calendar month, your remedy is, at our discretion, either an extension of the affected address’s paid period by the affected days at no charge, or an adjustment to your Wallet Balance for the value of the affected days. Claim it in writing to support@quantgrid.in within 30 days of the end of the affected month. It is not a refund of money, because the Wallet Balance is non-refundable (clause 6.6). A period extension or a balance adjustment is the sole and exclusive remedy for missed availability. Time outside NSE and BSE market hours is not counted, and no remedy is due for it. We do not compensate for trading outcomes; see clause 8 and clause 9.
7.6 Support
Email support is available Monday to Friday, 8:00 AM to 5:00 PM IST, at support@quantgrid.in. Those are the hours a person answers, not the hours the Platform runs (clause 7.1). We aim to acknowledge market-hours issues quickly, but we do not commit to a fixed resolution time, and a message sent outside support hours is picked up on the next working day.
8. Risk and no guarantee of outcome
Trading and investing in securities carries a substantial risk of loss. You can lose money, and in leveraged segments you can lose more than you deposit.
QuantGrid makes no representation about the outcome of any order it replicates, offers no assured or expected return, and does not promise that Replication will be beneficial to you. You accept every trading outcome in every account you link, including losses caused by orders the Platform placed correctly according to your own configuration.
8.1 Replication can fail, lag or execute partially
Replication depends on systems we do not own. An order may be delayed, may execute at a different price from the Parent Account, may execute partially, or may not execute at all. The causes include, without limitation:
- rejection by the Broker or the exchange, for any reason at all;
- insufficient margin, funds or holdings in the Child Account;
- price movement between the Parent Account fill and the Child Account order reaching the exchange;
- circuit limits, upper and lower price bands, illiquidity, freeze quantities and market-wide position limits;
- product, segment or instrument availability differing between Brokers, and differences in symbol conventions or lot sizes;
- quantity rounding. Child quantity is the parent quantity multiplied by your copy factor and capped by your maximum quantity. For futures and options it is rounded down to a whole lot of the contract, because an exchange rejects a partial lot and rounding up would trade size you never asked for; for cash equity, which has no lot, it is rounded to the nearest whole share. A rounded result of zero places no order;
- Broker API downtime, WebSocket disconnection, rate limiting, expired authorisation tokens or malformed Broker responses;
- the order already resting on the Parent Account’s order book when the Platform started watching that book, in which case no Child Account order is produced automatically, then or later (clause 3.2 and clause 7.3);
- the order being copied while the exchange is closed, which the Child Account’s Broker may hold for the next session or refuse, according to its own rules (clause 3.2);
- connectivity failure, exchange halts and Force Majeure Events.
8.2 Latency figures are typical, not guaranteed
Latency figures published on our website, including the under half a second median from the parent’s order to child order placement, describe measured typical performance of our own engine. They are not a promise about any individual order, and they exclude time spent inside Broker and exchange systems.
8.3 Past behaviour is not indicative
Nothing you have observed in any account, whether a Parent Account or your own, is an indication of what will happen next. We do not publish, endorse or vouch for the record of any trader.
8.4 Your responsibility to monitor
Automation does not remove your duty to watch your accounts. Check your Broker’s own order book and position book, which are the authoritative record, and use the square-off and cancel controls or your Broker terminal directly if something looks wrong. Read the full Risk Disclosure, which forms part of these Terms.
9. Liability and indemnity
9.1 No liability for trading outcomes
To the fullest extent permitted by law, we are not liable for any trading loss, missed trade, unexecuted order, duplicate execution caused by your own configuration, adverse price, margin call, penalty, tax consequence or regulatory action arising from your use of the Platform or from any order placed in any account you link.
9.2 Excluded categories of loss
We are not liable for indirect, incidental, special, punitive or consequential loss, or for loss of anticipated gains, loss of business, loss of goodwill, loss of opportunity or loss of data, however caused and whether or not we were told such loss was possible.
9.3 Aggregate cap
Our total aggregate liability to you for all claims arising out of or in connection with these Terms, whether in contract, tort (including negligence), statute or otherwise, is limited to the total amounts you actually paid to us in the three months immediately before the event giving rise to the claim, subject to a floor of ₹5,000. Apart from the free trial in clause 6.8, access to the Platform begins only when a top-up succeeds (clause 6.4); the floor is there for a person who has registered but not paid, including one on the free trial. The cap is a ceiling on liability established under these Terms and under law, not an amount payable on demand, and it does not create any liability that clause 9.1 or clause 9.2 excludes.
9.4 What cannot be excluded
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Indian law, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by our negligence.
9.5 Basis of the bargain
The fees for the Platform are set on the basis of the allocation of risk in this clause 9. If these limits were not enforceable, the fee for the Platform would be materially different.
9.6 Indemnity
You will indemnify, defend and hold harmless the Company, its directors, officers, employees and contractors against all claims, demands, proceedings, losses, damages, fines, penalties, costs and reasonable legal fees arising from or connected with:
- your breach of these Terms or of any policy incorporated into them;
- your breach of any law, regulation, exchange rule or Broker agreement, including any registration requirement you were subject to and did not meet;
- any claim by a third party whose Broker Account you linked, or on whose behalf you operated an account;
- any order placed, modified or cancelled in an account you linked;
- your infringement of any intellectual property or other right.
9.7 As-is warranty position
Except for the availability commitment in clause 7 and any warranty implied by law that cannot be excluded, the Platform is provided on an as-is and as-available basis. We do not warrant that it will be uninterrupted, error-free, or fit for a particular trading approach you have in mind.
10. Intellectual property
10.1 Our rights
The Platform, its source code, design, user interface, documentation, database schema, the QuantGrid name and logo, and all related intellectual property are owned by the Company or its licensors. Nothing in these Terms transfers any of it to you.
10.2 Your licence
For as long as your account is open and you are not in breach, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own internal purposes, on the terms of this agreement. All rights not expressly granted are reserved.
10.3 Your data
Your account configuration, your Copy Rules and the order and trade records generated in your accounts remain yours. You grant us a licence to process them only so far as needed to operate the Platform for you, to keep the audit trail, to provide support, and to meet a legal obligation. We do not sell your data.
10.4 Aggregate and anonymised statistics
We may compute aggregated, anonymised operational statistics, such as median replication latency, error rates and uptime, and publish or use them. Such statistics never identify you, your accounts, your positions or your instruments.
10.5 Feedback
If you send us suggestions or feature ideas, we may use them without restriction and without owing you anything for them.
11. Third-party services and trademarks
11.1 Trademarks
Zerodha, Kite Connect v3, Angel One, SmartAPI, FYERS, API v3, Groww, Groww Trading API, Motilal Oswal, OpenAPI, Upstox, Upstox API v3, Nuvama Wealth, Nuvama API Connect, ICICI Direct, Breeze API, Dhan, DhanHQ v2, Kotak, Kotak Neo Trade API, Tradejini, Tradejini CubePlus API v2, IIFL, IIFL Markets Trading API, Alice Blue, ANT A3 Open API, Zebu, Zebu OAuth API, 5paisa, Xstream API, HDFC Securities, InvestRight Open API, Sahi and Sahi API and all other broker, exchange and product names are the trademarks of their respective owners. We use them only to describe, factually and accurately, which third-party interfaces the Platform can connect to.
The same applies to logos. Each broker’s logo is the trademark of that broker, reproduced unaltered and used solely to identify which account a connection belongs to, in the dashboard and on this website. We claim no rights in them, and no logo is shown in a way meant to suggest endorsement, partnership or affiliation. A broker who would rather we did not display theirs can write to us and we will remove it.
11.2 No affiliation or endorsement
We are not affiliated with, endorsed by, partnered with, sponsored by or authorised by any Broker, exchange, depository or regulator, and none of them is a party to these Terms or responsible for the Platform. Any reference to a Broker on our supported brokers pages is a statement of technical interoperability, nothing more.
11.3 Broker behaviour is outside our control
Brokers may change, deprecate, rate-limit, restrict or withdraw their APIs, alter their terms, or block automated order placement, at any time and without telling us. If that happens, the affected functionality may stop working, and we will not be in breach of these Terms for that reason. We will tell you as soon as we reasonably can and, where a supported Broker becomes permanently unusable, clause 13 and the Refund and Cancellation Policy govern what happens to the dedicated static IP addresses you hold and to your remaining Wallet Balance.
11.4 Your agreement with your Broker
Your relationship with your Broker is governed entirely by your agreement with them. Nothing we do changes it, and disputes about execution, brokerage, margin or settlement are between you and your Broker.
11.5 Other third-party services
The Platform uses third-party services for hosting, payments, email and messaging alerts. Their performance is outside our control, and delivery of a notification is not guaranteed. Never treat the absence of an alert as confirmation that nothing happened.
12. Data protection
We process personal data in accordance with the Privacy Policy, which explains what we collect, why, how long we keep it and who processes it on our behalf. Read it alongside these Terms.
We process personal data in line with the Digital Personal Data Protection Act, 2023 and the rules made under it, and with the Information Technology Act, 2000 and its rules on reasonable security practices. Where the Act applies to our processing, you have the rights it gives a Data Principal, including access, correction, erasure, grievance redressal and nomination, exercised as described in the Privacy Policy. Where you provide personal data relating to another individual, you confirm you are entitled to do so.
Consent given for processing may be withdrawn at any time by writing to privacy@quantgrid.in. Withdrawal does not affect processing already carried out, and where the data is necessary to operate the Platform, withdrawal will mean we can no longer provide the service to you.
Security practices are described on the security page. Broker tokens are encrypted at rest and are never written to application logs.
13. Suspension and termination
13.1 Termination by you
For trade replication there is no subscription to cancel. You may turn auto-renew off on any dedicated static IP address, or release it, at any time from the Platform or by writing to support@quantgrid.in. With auto-renew off the address runs to the end of the period already paid for and is then released; a released address is released at once (clause 6.4). You may cancel a QuantGrid AlgoTrader Licence as clause 18.5 describes. You may cancel a QuantGrid Static IP Subscription as clause 19.5 describes, and clause 19.10 says what closing your account does to one. You may close your account at any time. Closing it does not convert an unspent Wallet Balance into money, because it is non-refundable and non-transferable (clause 6.6), so spend the balance down before you close if you intend to stop. You may unlink any Broker Account or revoke access at your Broker at any moment.
13.2 Suspension by us
We may suspend your access, in whole or in part, with notice where practicable and immediately where not, if: an Address Fee remains uncovered after the grace period in clause 6.4; a payment to us is reversed or disputed; we reasonably suspect a breach of clause 5; we reasonably suspect unauthorised access to your account; a Broker or a regulator directs us to; or continued operation would risk the security or integrity of the Platform for others.
13.3 Termination by us
We may terminate this agreement on 30 days’ written notice for any reason, or immediately on a material breach that you have not cured within 7 days of being told about it, or immediately and without cure period for conduct under clause 5.2 or 5.4. If we terminate without cause under this clause, we deduct no further Address Fee, every dedicated static IP address you hold runs to the end of the period already paid for rather than being cut short, and your remaining Wallet Balance stays spendable on your account until the termination takes effect. Anything still unspent at that point is not converted into money, because the balance is non-refundable (clause 6.6): the 30 days’ notice exists so that you can spend the balance down.
13.4 What happens on termination
- Replication stops. Any Copy Rules cease to run.
- Open positions and resting orders are not affected. Nothing is squared off automatically. Managing your positions after termination is entirely your responsibility, through your Broker.
- Stored Broker tokens are revoked or deleted, and API access stops.
- You may export your trade log and audit trail for 30 days after termination. Ask us at support@quantgrid.in if you need help doing so.
- After that, personal data is deleted or anonymised in line with the retention schedule in the Privacy Policy, except records we are required to keep by law or need to keep to establish or defend a legal claim.
- Fees already accrued remain payable, and clauses 8, 9, 10, 12, 13.4, 16 and 17 survive termination.
14. Changes to these Terms
We may revise these Terms to reflect changes in the Platform, in the law or in our commercial arrangements. When we do:
- the revised version is published at https://quantgrid.in/terms with a new “Last updated” date, which is the current one shown at the top of this page (4 November 2026);
- for a material change we will give at least 15 days’ notice by email to the address on your account, or by a notice inside the Platform, before it takes effect;
- for a change required by law or needed urgently for security, we may act with shorter notice or none, and will explain why afterwards;
- continued use of the Platform after a change takes effect is acceptance of it. If you do not accept a change, stop using the Platform, turn auto-renew off on your addresses and cancel any QuantGrid Static IP Subscription (clause 19.5) before the effective date, and the position in the Refund and Cancellation Policy applies.
15. Grievance redressal
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the contact details of the Grievance Officer are published below. Write to the Grievance Officer about any complaint concerning the Platform, its content, your data, or a breach of these Terms. Grievances are received in writing, by email or by post to the address below, so that the complaint and our response are both on record.

How a complaint is handled:
- We acknowledge every grievance within 24 hours of receiving it, with a reference number.

16. Governing law and disputes
16.1 Governing law
These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of India.
16.2 Good-faith resolution first
Before starting formal proceedings, the parties will try to resolve the dispute in good faith. The complaining party sends a written notice to legal@quantgrid.in describing the dispute and the outcome sought, and the parties have 30 days from that notice to settle it.
16.3 Arbitration
A dispute not settled within that period is referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The tribunal is a sole arbitrator appointed jointly by the parties, or, failing agreement within 30 days, appointed in accordance with the Act. The seat and venue of arbitration is Delhi, India. The language is English. The award is final and binding, and each party bears its own costs unless the arbitrator directs otherwise.
16.4 Jurisdiction
Subject to clause 16.3, the courts at Delhi, India have exclusive jurisdiction over any proceeding arising out of these Terms, including any application for interim relief, which either party may seek from those courts at any time.
16.5 No class proceedings
Claims are brought individually. Neither party will bring a claim under these Terms as a representative or class proceeding, to the extent that restriction is permitted by law.
17. Miscellaneous
17.1 Entire agreement
These Terms, together with the Privacy Policy, the Refund and Cancellation Policy, the Disclaimer, the Risk Disclosure and any order form or written plan terms we agree with you, are the entire agreement between us on this subject, and replace anything said or written before, including anything on our website that is not one of those documents.
17.2 Severability
If any provision is held invalid or unenforceable, it is read down to the minimum extent needed to make it enforceable, or severed if that is not possible, and the rest of these Terms remains in force.
17.3 Waiver
A failure or delay in enforcing a right is not a waiver of it. A waiver is effective only if given in writing, and applies only to the instance it was given for.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign them to an affiliate, or to a successor in connection with a merger, acquisition or sale of substantially all our assets, on notice to you.
17.5 Notices
Notices to you are sent to the email address registered on your account, or shown inside the Platform, and are treated as received on the day they are sent. Notices to us go to legal@quantgrid.in, or by post to Tristack Technologies LLP, B-35, Vinoba Kunj Apartments, Sector 9, Rohini, Delhi 110085, India. A notice to us is effective only if given by one of those two routes: we do not accept notice given by telephone or through a messaging service. Keep your registered email address current.
17.6 Force majeure
Neither party is liable for failing to perform because of an event beyond its reasonable control (a Force Majeure Event), including act of God, flood, fire, earthquake, epidemic, war, terrorism, riot, strike, government or regulatory action, exchange or clearing corporation failure, nationwide internet or power failure, and failure of a cloud, transit or Broker provider. Payment obligations already accrued are not excused.
17.7 Relationship
The parties are independent contractors. Neither may bind the other or hold itself out as having authority to do so.
17.8 Third-party rights
Except for the indemnified persons named in clause 9.6, no one other than the parties has any right to enforce these Terms.
17.9 Interpretation
Headings are for convenience only. “Including” means including without limitation. A reference to a statute includes any amendment or replacement of it. These Terms are written in English, and the English text governs.
17.10 The contracting entity
QuantGrid is operated by Tristack Technologies LLP, B-35, Vinoba Kunj Apartments, Sector 9, Rohini, Delhi 110085, India. LLPIN ACP-3743. PAN AAYFT2516N. GSTIN 07AAYFT2516N1ZF. Legal: legal@quantgrid.in. Support: support@quantgrid.in. Grievances: grievance@quantgrid.in. Phone: call us.
18. QuantGrid AlgoTrader
This clause applies only if you use QuantGrid AlgoTrader, and only to it. It changes no term of trade replication.
18.1 What AlgoTrader is, and which clauses govern it
QuantGrid AlgoTrader is trading software that you install and run on your own computer, on one of these operating systems:
- Windows 10 or 11, 64-bit;
- macOS 13 or later, on a Mac with Apple silicon (M1 or later); or
- 64-bit Linux (x86-64) with glibc 2.28 or later.
It is a separate product from trade replication, and it acts only on the rules, strategies and limits you write or configure in it (clause 18.6).
Clauses 3.1 to 3.3, 4.3 to 4.5, 5.5, 6.8, 7.1 to 7.5, 8.1 and 8.2, and clauses 6.2, 6.4 and 6.5 so far as they concern addresses and Address Fees, describe trade replication alone and do not apply to AlgoTrader. Every other clause of these Terms applies to AlgoTrader as it applies to the Platform, and in those clauses a reference to the Platform includes AlgoTrader. Where this clause 18 and another clause differ on a question about AlgoTrader, this clause 18 prevails.
18.2 Signing up
You create your QuantGrid account yourself, on our sign-up page at https://app.quantgrid.in/register, which the app’s Create account opens in your browser: you give your name, an email address and a password, and you prove the address by entering the code we email to it. No account exists until you do. If you already have a QuantGrid account, you use it instead: one account serves all of our products. You sign in to AlgoTrader with your account’s email address and password, and before a Licence is added to your account from a computer, we email a code to the account’s address to confirm that it is you. Clause 4.1 applies to the details you give, and your password is a credential under clause 4.2: you are responsible under clause 4.1 for everything done with it.
AlgoTrader works only with the Brokers it lists when you choose your Broker Account, and it refuses any other before anything is charged. Before you start a Licence, it is yours to confirm that the Broker Account you choose is your own, that it has API access, and that you accept your Broker’s terms for that access, which apply to every order AlgoTrader sends through it. Nothing is charged until you start a Licence from your Wallet Balance under clause 18.4.
In addition to our rights under clause 13.2, we may refuse a sign-up, decline to add, start or renew a Licence, or suspend a Licence or your use of AlgoTrader, where the details you give are false, where the Broker Account you choose is not yours or is already covered by another Licence, or where we reasonably suspect misuse of AlgoTrader, of its sign-in or of a dedicated static IP address. Suspending a Licence does not close any position or cancel any order at your Broker, as clause 18.4 says. We may also pause, for a time, new sign-ups and the adding and starting of Licences that have not yet been started.
18.3 What a Licence covers, and its fee
One QuantGrid AlgoTrader Licence covers one computer running an operating system listed in clause 18.1 and one Broker Account, and includes the dedicated static IP address that Broker Account’s orders leave from, as one bundle: that address is not bought or renewed separately, and no Address Fee is charged for it. Another computer or another Broker Account needs another Licence. The Licence Fee is ₹1,200 + GST per 30 days, per licence, or the revised fee published under clause 18.9, and GST is charged on it as clause 6.3 sets out.
The address is reserved to that Broker Account while the Licence is live, and the orders AlgoTrader sends to your Broker leave from it. Registering it with your Broker is yours to do, as it is for an address bought for trade replication, and orders will not go through until your Broker has applied it.
18.4 Deduction, renewal and the grace period
The QuantGrid AlgoTrader Licence Fee is deducted in advance from your Wallet Balance, one 30-day period at a time, starting on the day you start the Licence. At the end of each period the next period is deducted from the Wallet Balance automatically, so the Licence renews from it, on its own cycle. That deduction moves money you have already paid us; it never charges a card, a UPI handle or a bank account.
If a renewal falls due and your Wallet Balance cannot cover the Licence Fee, we notify you by email. The Licence stays live for a grace period of 3 days from the renewal date, and if you top up within it, the renewal is deducted and the Licence continues. If the Licence Fee is still uncovered at the end of the grace period, the Licence is stopped: AlgoTrader can no longer be used under it, and its dedicated static IP address is released and may be reassigned. A released address cannot be recovered: a replacement address has to be registered with your Broker again before orders will flow from it.
Stopping a Licence does not close any position or cancel any order already at your Broker, and a strategy that was running may no longer be able to place orders, its exits included. Managing what is open then is entirely yours, through your Broker, so plan around this before you let a balance run out.
18.5 Cancelling a Licence
There is no mandate to revoke, because nothing is ever charged to a payment instrument for a Licence. You stop a QuantGrid AlgoTrader Licence by cancelling it, at any time, by writing to support@quantgrid.in from the email address registered on your account. You can also cancel from inside AlgoTrader, by turning off Renew automatically on its Licence page, and either route has the same effect. A cancellation stops every renewal that falls after we receive it, and we confirm it in writing. A cancelled Licence, and its dedicated static IP address, run to the end of the period already paid for and then end, and nothing further is deducted for it. The unused part of a period is neither refunded nor returned to your Wallet Balance, except where the law requires otherwise.
18.6 AlgoTrader acts only on your rules
QuantGrid AlgoTrader runs on your own computer and acts only on the rules, strategies and limits you write or configure. QuantGrid does not choose or suggest any trade; every order comes from rules you set. A rule does exactly what it is written or configured to do, including when it is wrong, so verify your strategies, limits and settings before they place real orders, and after every change.
You connect your own Broker Account, and you log in to your Broker yourself each trading day: SEBI requires broker API sessions to end every day and a fresh two-factor login each trading day. Until you do, AlgoTrader cannot place orders in that account. You remain solely responsible for every order placed in your account through AlgoTrader, and for every consequence of it.
You are responsible for the computer AlgoTrader runs on: its security, its power, its internet connection, and keeping it running while a strategy you rely on is live. Your Broker API key and secret, and the session from your daily Broker login, stay on that computer, and keeping them safe there is yours, as clause 4.2 requires. What clause 12 says about Broker tokens being encrypted at rest and never written to application logs is about the tokens we hold for trade replication, not credentials kept on your computer.
Sandbox mode runs your strategies against virtual capital and places no real orders with your Broker. What a strategy does in Sandbox mode is not an indication of what it will do with real orders, real prices and real fills. Outside Sandbox mode, every order AlgoTrader places is a real order in your real Broker Account, with real money at risk.
18.7 Risk, liability and no advice
The statements in the box at the start of clause 3, clause 3.4, the statements at the start of clause 8, clauses 8.3 and 8.4, and clause 9 apply to QuantGrid AlgoTrader in full. We make no representation about the outcome of any order AlgoTrader places or of any strategy you run in it, and do not promise that using it will be beneficial to you. You accept every trading outcome in every Broker Account you connect to it, including losses caused by orders it placed correctly according to your own rules.
An order can be delayed, refused or not placed at all for reasons outside our control, including your computer, its connection, your Broker and the exchange. It can also fail to reach your Broker if the service we provide for a Licence’s dedicated static IP address is interrupted, and clause 9 applies to that as well. The analytics, charts and market data AlgoTrader shows are information about the market, not a suggestion to trade, and they can be delayed, incomplete or wrong.
18.8 Your right to use AlgoTrader, and its open-source licence
For as long as a Licence is live, including its grace period under clause 18.4, and you are not in breach, we grant you a limited, non-exclusive, non-transferable, revocable right to use QuantGrid AlgoTrader with the service we provide for it (its sign-in, its Licence checks, the Licence’s dedicated static IP address and the relay that carries its orders) on one computer running an operating system listed in clause 18.1, with one Broker Account, for your own internal purposes, on the terms of this agreement. Whenever a computer has no Licence that is live, before its Licence starts or after one ends, we also grant you that right on the same terms to sign in to AlgoTrader on it, set it up, use it in Sandbox mode, which places no real orders, and exit what is open. Those rights take the place of clause 10.2 for AlgoTrader; your rights in the software itself come from its open-source licence, below. On Windows and Linux, AlgoTrader updates itself in the background and applies each update when you restart it. On a Mac it does not install updates itself: it tells you when a new version is published and offers to open its download, and you install each new version yourself. An update may change how it works.
QuantGrid AlgoTrader is open-source software. It is licensed to you, as a whole, under the GNU Affero General Public License v3.0, and the third-party components it bundles keep their own licences. The corresponding source code is available on request from support@quantgrid.in. Nothing in these Terms, clauses 5.4 and 10 included, restricts the rights those licences give you in the software. They do not license the QuantGrid name or logo, which remain the Company’s under clause 10.1, or the service we provide for a Licence, which runs on our side and is governed by these Terms.
18.9 Price changes, availability, the free trial and termination
Clause 6.5 applies to the Licence Fee as it applies to an Address Fee: a revised Licence Fee applies from the next renewal of each Licence, after the notice that clause gives, and if you do not accept it, cancel the Licence under clause 18.5 before its renewal date. Where clause 14 asks you to turn auto-renew off on your addresses before a change takes effect, cancel your Licences under clause 18.5 as well.
The availability commitment and its remedy in clauses 7.1 to 7.5 cover the trade replication engine. They do not extend to QuantGrid AlgoTrader, including the dedicated static IP address that comes with a Licence and the sign-in we provide for it; clause 9.7 applies to it, and clause 7.6 sets out how to reach support about it. The free trial in clause 6.8 is for dedicated static IP addresses bought for trade replication. It does not apply to a Licence or to the dedicated static IP address that comes with one.
If you close your account, or we terminate without cause under clause 13.3, no further Licence Fee is deducted and every Licence runs to the end of the period already paid for. Ending a Licence, for any reason, does not close any position or cancel any order in the Broker Accounts you connected to AlgoTrader: managing them remains entirely yours, as clause 13.4 says. Clauses 18.6 and 18.7 survive termination.
19. QuantGrid Static IP
This clause applies only if you buy QuantGrid Static IP or take its free trial (clause 19.11), and only to it. It changes no term of trade replication or of QuantGrid AlgoTrader.
19.1 What Static IP is, and which clauses govern it
QuantGrid Static IP is a static IP address reserved to you, with a proxy (a host, a port, a username and a password) through which software you run yourself sends its traffic to your Brokers’ application programming interfaces, so that the traffic leaves from that address. We place no order through it and cannot read what passes through it: the connection between your software and your Broker is encrypted end to end. We supply the address and the proxy, and nothing else.
Clauses 3.1 to 3.3, 4.3 to 4.5, 5.5, 5.6, 6.1 to 6.6, 6.8, 7.1 to 7.5, 8.1, 8.2 and 18 describe trade replication or QuantGrid AlgoTrader and do not apply to Static IP. Every other clause applies to it as it applies to the Platform, and in those clauses a reference to the Platform includes Static IP. Where this clause 19 and another clause differ on a question about Static IP, this clause prevails. The Acceptable Use Policy forms part of this clause.
19.2 Your addresses and your Brokers
Each address is reserved to you alone and is never shared with another customer while it is yours. You choose up to 3 of your own Brokers for each address, at no extra charge, and you may change them from the dashboard. Only those Brokers’ trading, account and sign-in hosts, and the address check the Acceptable Use Policy names, can be reached through it. The address family for each Broker is the one our list of brokers shows for it when you buy: IPv6 where we have confirmed the Broker accepts it, otherwise IPv4. The Brokers on one address share its family. A Broker listed as available on request can be chosen only once we have checked its hosts. We may refuse to add a Broker to an address that served that Broker for another customer within the previous 180 days; that Broker then needs a different address.
19.3 Plans, charges and autopay
You buy addresses by Subscription, on a monthly, quarterly or yearly plan, at the price per address published on the QuantGrid Static IP page when you buy. Prices are stated net, and GST at the prevailing rate, currently 18%, is added to each charge, so the amount charged each period includes GST. You authorise the charges as a recurring payment through our payment gateway: a UPI AutoPay mandate, a card mandate or a netbanking e-mandate, which you approve at checkout. With UPI AutoPay or a card the first period is charged at checkout, unless you are keeping addresses that are still paid ahead: your payment method is then checked at checkout with a small charge that is refunded, and the first period is charged on the day their paid time ends. A netbanking e-mandate is first registered by your bank, which can take up to 3 working days, and the first charge, and your addresses, follow. The first period starts when it is charged; each later period is charged automatically when the one before ends, and the payment gateway may notify you before each charge as the rules for recurring payments require. A purchase is for one plan and one address family, and a purchase you make yourself keeps each charge at or under ₹15,000; a larger quantity is offered on request, at a price we agree with you, and a bulk offer above ₹15,000 is paid by netbanking e-mandate, or by a card you approve at each charge. A GST invoice is issued for every charge. A Subscription is never paid from your Wallet Balance.
19.4 Failed payments, suspension and release
If a charge fails, the payment gateway retries it and we tell you by email, unless you have turned off the “Billing reminders” email under Notifications in your dashboard. Your addresses keep working for 3 days after the end of the period paid for. For the 7 days after that they are suspended: the proxy refuses them, but each address stays reserved for you, and paying the outstanding charge, or buying again and choosing to keep them, restores it as soon as the payment is taken. A netbanking e-mandate is first registered by your bank, which can take up to 3 working days, and an address you keep that way stays suspended, and reserved for you, until then. Choosing to keep them is not offered while a renewal is being charged. If nothing is paid by the end of those 10 days, the addresses are released and the Subscription is cancelled. A released address cannot be recovered, and a new one has to be registered with your Broker again. An IPv4 address released from you is not given to another customer for a Broker it served for 180 days.
19.5 Cancelling
You may cancel a Subscription at any time from the dashboard, or by writing to support@quantgrid.in from the email address registered on your account. A cancellation takes effect at the end of the period already paid for: nothing more is charged, and the addresses then keep working, are suspended and are released as clause 19.4 describes. Cancelling the mandate from your UPI app, card issuer or bank has the same effect. The unused part of a period is not refunded, except under clause 19.6 or where the law requires otherwise. The number of addresses in a Subscription cannot be reduced: to keep fewer, choose Keep my IPs in your dashboard and untick the addresses you no longer need, or cancel the Subscription and buy the number you want.
19.6 Works, or a refund
If an address does not work with the Broker you bought it for, tell us from the dashboard or by email within 7 days of the purchase’s first charge. We look into each request, and where the address does not work with that Broker and the cause is not one you can put right yourself (a setting in your software or in your Broker’s console is one you can), we refund that first charge in full to the original payment method, end that Subscription and release all of its addresses at once, including any it kept from an earlier purchase. You cannot ask for this refund about an address you kept from an earlier purchase. Apart from the payment errors set out in the Refund and Cancellation Policy, this is the only refund for Static IP.
19.7 When an address may be replaced
We may replace an address with another of the same family where your Broker will not accept it, where it is blocked or flagged by a Broker or a network, or where our network needs the change. We email you, before the change where we can, and the new address has to be registered with your Broker before traffic will flow from it. A replacement costs nothing.
19.8 Your Broker’s and the exchange’s rules
Registering each address with your Broker, and keeping it registered, is yours to do, as are your Broker’s limits on how often it may change. Your Broker and the exchange allow one client per address, or one family where your Broker accepts the family’s declaration: following that rule, and making any declaration your Broker asks for, is yours. Using Static IP does not by itself satisfy any rule of SEBI, an exchange or a Broker, and we do not represent that it does. Clause 5.3 applies in full.
19.9 Acceptable use, fair use and records
Clause 5.4 and the Acceptable Use Policy apply to every address. A breach of the Acceptable Use Policy is a breach of clause 5.4 for clauses 13.2 and 13.3. Each address may move 200 MB a day, counted by the day in Indian Standard Time. After that, until midnight Indian Standard Time, connections are not refused, but each closes once it has moved another 256 KB. We keep records of each connection as the Privacy Policy and the Acceptable Use Policy describe. Clause 13.2 applies, with the notice section 9 of the Acceptable Use Policy gives. A suspension for a breach of clause 5.4 or of the Acceptable Use Policy is not a ground for a refund. For a serious or repeated breach of the Acceptable Use Policy we may also end the Subscription concerned and release its addresses at once, and nothing paid for the period is refunded.
19.10 Prices, availability and termination
We may change the published prices. A change applies to purchases made after it, and a Subscription you already hold keeps the price it was bought at until it ends. The availability commitment and remedy in clauses 7.1 to 7.5 do not cover Static IP; clause 9.7 applies to it, and clause 7.6 sets out how to reach support. A latency figure we publish for Static IP is a measurement made on the date shown: it is not a promise or a guarantee, and it says nothing about the outcome of any order. If you close your account, every Subscription ends and its addresses are released at once, and the unused part of the period is not refunded. To use a paid period first, cancel under clause 19.5 and close the account when it ends. If we terminate without cause under clause 13.3, every Subscription is cancelled at the end of the period already paid for and nothing more is charged. Clauses 19.6 and 19.8 survive termination.
19.11 The free trial
The free trial is one address for 7 days from the moment it starts, with no payment taken and no card or mandate asked for. You start it from the dashboard, and we may also start it for you on these same terms. To take it, your email address must be confirmed, your billing details complete and a WhatsApp number on your account proved with the code we send to it. The trial is once per person: one per account, and one per WhatsApp number across all QuantGrid accounts, closed ones included. An account that has already bought Static IP cannot take it. The trial address serves up to 3 of your own Brokers of one address family, and an address in the IPv4 family is offered only while IPv4 addresses are on sale. It uses the same proxy, and is bound by the same Acceptable Use Policy and fair use, as a bought address: clauses 19.1, 19.2 and 19.7 to 19.10 apply to it as to an address bought. For a breach for which clause 19.9 lets us end a Subscription, we may also end the trial and release its address at once.
The trial is not a Subscription. Nothing is charged for it, so there is nothing to cancel, and you cannot ask for the refund in clause 19.6 about the trial address, during the trial or after you keep it. When the trial ends, the address keeps working for 3 days, is then suspended for 7 days, and is released 10 days after the trial ended, unless you keep it. A released address cannot be recovered. To keep it, choose Keep my IPs in your dashboard before it is released: that starts a Subscription for it under clause 19.3, and the address, its username and its Brokers stay the same. If you keep it during the trial, it counts under clause 19.3 as an address still paid ahead until the trial ends, so the first period is charged on the day the trial ends; with UPI AutoPay or a card, your payment method is checked at checkout with a small charge that is refunded. If you keep it after the trial has ended, the first period is charged as clause 19.3 describes for a new purchase, and a suspended address is restored as clause 19.4 describes.
While you have not kept it, we email you before the trial ends and when the address is suspended, unless you have turned off the “Billing reminders” email under Notifications in your dashboard, and when it is released, unless you have turned off the “Dedicated IP addresses” email under Notifications in your dashboard. If you close your account during the trial, its address is released at once. We may stop offering new trials at any time; that does not shorten or end a trial already running.
