Scope of this disclaimer

This disclaimer applies to quantgrid.in, to every page on it, and to the QuantGrid software and any communication you receive from us: email, Telegram alerts, dashboards, documentation and support replies. By using the website or the software you accept it.

QuantGrid sells three products: trade replication; QuantGrid AlgoTrader, trading software you run on your own computer; and QuantGrid Static IP, a static IP address and proxy for software you run yourself. Most of this disclaimer is about trade replication, and wherever it describes replication, parent and child accounts, copy settings, latency or the uptime commitment, it is about trade replication alone. The position for AlgoTrader is set out in its own section below. The sections on advice and SEBI registration, guaranteed outcomes, past performance, the software being provided as is, your responsibility, third parties, website content and liability apply to it as well, except where a passage in them is about trade replication.

It is part of a set. The Terms of Service govern the contract, the risk disclosure sets out the risks of trading and of automation, the compliance page explains our regulatory posture, and the refund and cancellation policy covers billing. Where this disclaimer and the Terms address the same subject, the Terms prevail.

No advice, no SEBI registration

The following statements are exact. The paragraph after them says which two are replaced for QuantGrid AlgoTrader, and nothing else on this site qualifies them:

• QuantGrid is not registered with the Securities and Exchange Board of India (SEBI) in any capacity: not as an Investment Adviser, not as a Research Analyst, and not as a Portfolio Manager.
• QuantGrid does not give investment advice, tips, calls, buy or sell recommendations, or any opinion on any security. Nothing on this website or in the product is a recommendation to trade.
• QuantGrid never holds, receives or handles your funds or securities. Money and holdings stay with your SEBI-registered broker throughout.
• QuantGrid does not manage your account or trade on your behalf at its own discretion. The software executes only the replication rules you configure, mirroring orders that you or your chosen parent account originate.
• QuantGrid does not offer, promise or imply any profit, assured return or performance outcome, and does not share in your profits or losses.
• You choose your own parent account, you set your own multipliers and limits, and you remain solely responsible for every order placed in your account and for every consequence of it.

The two statements above about the replication rules you configure and the parent account you choose describe trade replication. For QuantGrid AlgoTrader, these two take their place, and the other four apply to it unchanged:

• QuantGrid AlgoTrader runs on your own computer and acts only on the rules, strategies and limits you write or configure. QuantGrid does not choose or suggest any trade; every order comes from rules you set.
• You connect your own broker account, you log in to your broker yourself each trading day, and you remain solely responsible for every order placed in your account and for every consequence of it.

Nothing on this website is a solicitation to trade any security, and nothing produced by the software should be read as an opinion on any instrument. Feature names, screenshots, latency figures and sample symbols are descriptions of software behaviour, not views on a market.

No guaranteed outcome

Tristack Technologies LLP makes no promise, express or implied, about any financial result you may experience while using QuantGrid. There is no assured return, no minimum outcome, no capital protection and no compensation for a losing trade. Trading in securities and derivatives carries substantial risk, and you can lose more than your initial capital in leveraged segments.

For trade replication, the claims we do make are engineering claims and we stand behind them: median replication latency under half a second, from the parent’s order to the child order placed, 99.9% uptime measured over NSE and BSE market hours, a dedicated static IP reserved to your account alone, and three independent layers of duplicate-order protection. A fast, reliable execution path is not the same thing as a good trading outcome, and we never present it as one.

Each of those claims is made within stated limits rather than at large. QuantGrid runs around the clock, every day. Deploys and planned maintenance are scheduled outside NSE and BSE market hours. The 99.9% uptime commitment is measured over NSE and BSE market hours because those are the hours it covers. Hours outside them are not counted, so they neither count against the figure nor qualify for a remedy.

The scope is stated too, and it is narrower than every market. QuantGrid replicates equity and F&O orders on NSE, BSE, NFO and BFO for every account. BSE and BFO trades are not copied to ICICI Direct accounts, whose API accepts orders on NSE and NFO only. Commodities (MCX) and currency derivatives (CDS) are supported as an opt-in. Both the master and the client account have to be with a broker supported for that segment: Zerodha, Angel One, Upstox or Dhan for commodities, and Zerodha for currency derivatives. Upstox is not accepting MCX orders through its API at present, so an MCX trade is not copied to an account there. Ask us to enable the segment on your account. An order outside that scope, or on a segment you have not enabled, is recorded in your audit trail as skipped, with the reason, and nothing about it reaches a child account.

Past performance

Past performance of any strategy, any trading system, any parent account or any individual trader does not indicate future results. A sequence of successful trades carries no information about the next one. Any historical figures, logs or screenshots you see anywhere, whether published by us, by a broker or by a third party, are records of what happened once and are not a projection.

QuantGrid does not publish, host, rank or verify performance records for any parent account, and we ask you to treat any such record shown to you elsewhere with the scepticism it deserves.

Following a parent account

Choosing a parent account is entirely your decision and entirely your risk. Before you link an account, satisfy yourself about who is trading it and on what basis, and use the controls the software gives you: a conservative copy factor, a maximum-quantity cap, and the ability to pause a relationship or square off across every linked account at once.

Be aware of the regulatory position too. If someone offers to trade your account for a fee or a share of gains, or holds themselves out as giving investment advice for consideration, they may require SEBI registration in their own right. That is a matter between you and them. For trade replication, QuantGrid is only the software that mirrors orders you have configured it to mirror, and supplying that software is not an endorsement of anyone you point it at. Replication is not guaranteed

QuantGrid is built to replicate every eligible parent order, and it is engineered for that: order updates arrive over the broker WebSocket with REST order-book polling as an automatic fallback, and duplicate protection stops a retry or a reconnect from ever placing the same child order twice. It runs around the clock and does that whenever it can read the parent account. We still do not guarantee that every order will replicate, or that a replicated order will execute at the same price as the parent.

These are the failure modes. They are stated in full rather than buried:

An order already on the book when QuantGrid starts watching it

An order already resting on a parent account's order book when QuantGrid starts watching that book is treated as existing, not new, and is not copied automatically, even if it fills later. QuantGrid starts watching a book afresh after a restart or deploy, when copying is switched back on for that parent, and at the first successful read of the book each day after the 00:30 IST daily reset, which waits for the account to be signed in and, on some brokers, for their overnight maintenance to end. If such an order is less than an hour old, QuantGrid may instead ask the account's owner to approve a copy, and nothing is placed unless they do. An order placed while QuantGrid is reading the parent is copied in the ordinary way, whatever the time of day.

An order copied while the exchange is closed

An order placed on a parent account while the exchange is closed, such as an equity after-market (AMO) order in the evening, is copied at once like any other, with these exceptions: Angel One gives such an order a new order number when it sends it to the exchange at the open, so on an Angel One parent account it is copied then, once, and not before; and a Sahi parent account's order book is read every two minutes while the market is shut, because Sahi allows each account 10,000 order-book reads a day, so on one it is copied when the book is next read, up to two minutes later. Whether the child account's broker accepts a copy made while the exchange is closed is that broker's rule: some hold it as an after-market order for the next session, and some refuse it.

Broker API outage or rejection

Your broker's API can go down, throttle requests or reject a child order outright. QuantGrid records the rejection and alerts you, but it cannot place an order a broker refuses to accept.

Insufficient funds or margin in the child account

A child order that needs more margin than the account holds is rejected by the broker. The parent order still stands. Funding every child account for the size you have configured is your responsibility.

Exchange halt, circuit or ban

A circuit limit, a trading halt, a scrip in the F&O ban period or a market-wide suspension will block a child order regardless of what the parent account did.

Session or token expiry

Broker access tokens expire, in most cases daily. If a session lapses and is not re-authorised, orders on that account will not replicate until you sign in again.

Symbol or lot mismatch

An instrument may not exist on the child account's broker, may be named differently, or may carry a different lot size or permission. Where the child quantity floors below one full lot it is recorded as a zero-quantity skip rather than sent.

Network loss

Connectivity between QuantGrid, your broker and the exchange can drop. Order updates arrive over the broker WebSocket with REST order-book polling as an automatic fallback, which covers most gaps, but no design removes network risk entirely.

Price movement between parent fill and child placement

Replication is fast, not instantaneous. The market can move between the parent fill and the child order reaching the exchange, so a child account can execute at a different price, or not at all if the price has left your limit.

Quantity rounding

Child quantity is parent quantity x copy factor, capped by the maximum-quantity limit you set. On F&O and commodity it is floored to whole lots, never rounded up, so a child position can be smaller in proportion than the multiplier suggests, and a fill that arrives in several parts floors each part independently. Cash equity has no lot and is rounded to the nearest whole share.

Your own configuration

A wrong multiplier, a cap set too low, a paused relationship or a parent account you selected by mistake will all produce exactly the outcome they describe. The software executes what is configured.

Every one of these events is written to your audit trail with a timestamp and the broker’s own response, and the ones that matter raise a Telegram alert. Reconstructing what happened is always possible. Undoing it is not. You should monitor your accounts during market hours rather than assume replication is running, and the risk disclosure explains why that assumption is the most expensive mistake an automated setup can make.

QuantGrid AlgoTrader

QuantGrid AlgoTrader is the second QuantGrid product: trading software you install and run on your own computer, on Windows, macOS or Linux, separate from trade replication. It follows no parent account and mirrors nothing. It places orders in your broker account from the rules, strategies and limits you write or configure in it, and from nothing else.

QuantGrid gives no investment advice through QuantGrid AlgoTrader and gives you no strategy. We make no representation about the outcome of any order AlgoTrader places or of any strategy you run in it, and we do not promise that using it will be beneficial to you. The analytics, charts, option chain, Greeks, market data and alerts it shows are information about the market, not a suggestion to trade, and they can be delayed, incomplete or wrong. What you do with them is yours to decide.

Sandbox mode in QuantGrid AlgoTrader places no real orders, and what a strategy does there is not an indication of what it will do with real orders, real prices and real fills. Outside Sandbox mode, every order AlgoTrader places is a real order in your real broker account, with real money at risk.

We publish no latency figure and make no uptime commitment for QuantGrid AlgoTrader. It works while your computer is on and connected, you have logged in to your broker that day, and the service we provide for your Licence’s dedicated static IP is running, and an order it sends can be delayed, refused or not placed at all for reasons outside our control, including your computer, its connection, your broker and the exchange. Section 11 of the risk disclosure sets out how it can fail.

If the broker account you connect to QuantGrid AlgoTrader is also a parent or a child account in QuantGrid trade replication, trade replication’s scheduled square-off, scheduled order cancel, Square Off All and Cancel All Orders can close the positions AlgoTrader opened there and cancel the orders it placed, its exits included, unless you have hidden those positions in trade replication.

QuantGrid AlgoTrader is open-source software, licensed under the GNU Affero General Public License v3.0. The corresponding source code is available on request from support@quantgrid.in, and nothing in this disclaimer restricts the rights that licence gives you. Clause 18 of the Terms of Service says which clauses of the Terms apply to AlgoTrader and sets out the terms that apply to it alone.

Software provided as is

To the fullest extent permitted by law, QuantGrid is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the software will be uninterrupted or error-free, that every defect will be corrected, or that it will meet a requirement you have not agreed with us in writing.

The uptime commitment, 99.9% uptime during NSE and BSE market hours, and the service-failure remedy in the refund and cancellation policy, which is an extension of the affected address’s paid period or an adjustment to your wallet balance rather than a refund of money, are the contractual remedies for availability, and they are the only ones. They cover trade replication: QuantGrid AlgoTrader carries no availability commitment, including its dedicated static IP and the sign-in we provide for it, as clause 18.9 of the Terms of Service says. Time outside NSE and BSE market hours, including evenings, weekends and exchange holidays, is not covered by the commitment, and planned maintenance we schedule then is not a service failure. Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud.

Your account, your responsibility

You are solely responsible for:

• Every order placed in your accounts, including every order the software mirrors under the rules you configured.
• The parent account you choose to follow, and for stopping the relationship when you no longer want it.
• Your copy factors, maximum-quantity caps and product settings, and for checking them after any change.
• Funding and margin in each linked account, and for the consequences of a shortfall, including broker penalties and auction charges.
• Keeping broker sessions authorised, keeping your sign-in credentials private, and revoking API access at your broker when you stop using the service.
• Every order QuantGrid AlgoTrader places in your account, and every strategy, rule, limit and setting it acts on, including checking them before they place real orders and after every change or update.
• The computer QuantGrid AlgoTrader runs on: its security, its power and its connection, keeping it running while a strategy you rely on is live, and the broker API key, secret and daily broker session kept on it.
• Your own compliance obligations, including any that arise from operating accounts for family members or other people.
• Your tax position. QuantGrid produces trade logs, not tax advice or tax computations. Capital gains, speculative and business income treatment, advance tax, audit thresholds and GST on your own activity are matters for you and your chartered accountant.

Third parties and trademarks

QuantGrid connects to brokers through their official APIs and depends on those third-party services, on exchange systems and on public networks. We do not control them, we are not responsible for their availability, their data, their charges or their decisions, and their own terms apply to you directly as their customer.

Zerodha, Angel One, FYERS, Groww, Motilal Oswal, Upstox, Nuvama Wealth, ICICI Direct, Dhan, Kotak, Tradejini, IIFL and all other broker, exchange and product names used on this site are the trademarks of their respective owners. They are used only to describe interoperability. Naming a broker does not imply that broker sponsors, endorses, certifies or is affiliated with Tristack Technologies LLP, and links to third-party documentation are provided for reference only. We take care to keep it accurate, but we make no representation that it is complete, current or free of error, and prices, broker support and technical details can change without notice. The figures in pricing and the broker statuses in brokers are the operative ones; anything quoted elsewhere, including in third-party articles or search results, may be out of date.

Latency, uptime and feature descriptions describe measured behaviour of the platform under normal conditions. They are not commitments about any individual order, and the median latency figure is a median, not a ceiling.

Liability

To the extent permitted by law, Tristack Technologies LLP, its directors, employees and suppliers are not liable for any trading loss, loss of profit or revenue, loss of opportunity, loss of data, or any indirect, incidental, special or consequential damage arising from your use of, or inability to use, QuantGrid, whether the claim is framed in contract, tort, statute or otherwise. The limits and the aggregate cap on our liability are set out in the Terms of Service and apply here in full.

No refund or balance adjustment is available for a trading loss in any circumstance. That is stated in the refund and cancellation policy and it is not negotiable, because we do not control trading outcomes.
